Governance

TenCate Protective Fabrics is owned by Koninklijke Ten Cate B.V., which is ultimately held by a private equity majority shareholder. The shareholder appoints both the Supervisory Board and the Managing Board of TenCate Protective Fabrics Holding B.V.

The Supervisory Board oversees the company’s direction, governance, and performance, with a focus on long-term value creation.

Strategy and management

The Senior Leadership Team (SLT), led by the CEO and overseen by the Supervisory Board, is responsible for the day-to-day management of TenCate Protective Fabrics, including environmental, social, operational, financial, and sustainability performance. We communicate critical topics through regular leadership meetings, global town halls, and internal updates. External communication is managed by our Communications team.

Sustainability integration

Sustainability is an integral part of the TenCate Protective Fabrics business strategy and long-term value creation. We define compliance as the ongoing commitment to meet and exceed the expectations of our stakeholders – ranging from suppliers, partners, and customers to regulatory bodies, owners, and local communities.

Our approach is built on translating ESG insights into clear actions within our operations.

This includes defining priorities, tracking performance, and continuously improving how we manage environmental and social impact.

The Global Sustainability Manager coordinates these efforts in collaboration with the SLT, which holds overall accountability. Implementation is supported across functions, ensuring that sustainability is embedded in day-to-day decision-making.

 TenCate Protective Fabrics applies a structured approach to identifying and managing risk across the organization. This includes:  

Corporate risk assessments at the strategic level, led by the Senior Leadership Team

ESG Double Materiality Assessments (DMA) to identify key impacts, risks, and opportunities

Supply chain risk assessments focused on due diligence and continuity

Site-level assessments addressing operational and regulatory requirements

 Together, these layers provide a consistent way to evaluate risks and identify opportunities for improvement across our operations.

Stakeholder engagement

We engage with a range of stakeholders to better understand the impacts of our operations and to inform our approach to sustainability. These perspectives help us identify priorities and refine how we manage risks and opportunities.

 

Our stakeholder groups include shareholders, customers, suppliers, employees, industry organizations, and regulatory bodies. We also review industry benchmarks to better understand how our approach compares and where adjustments may be needed.
